DZDEAL Global User Registration Agreement & Full Compliance Disclaimer

Important Preliminary Statements

1. All servers of the DZDEAL Platform are physically located within the United States, providing product testing services for users across the United States and all regions worldwide.

2. This Agreement is governed by U.S. federal laws, state consumer protection laws, Federal Trade Commission (FTC) advertising endorsement disclosure rules, policies of mainstream e-commerce platforms including Amazon, Walmart and eBay, as well as general norms governing cross-border internet services worldwide.

3. By clicking "I Agree", completing account registration, logging in, claiming testing tasks, receiving sample products, submitting usage feedback or using any function of the Platform, you warrant that you are at least 18 years old, possess full legal capacity to enter into binding contracts, and unconditionally accept all terms of this Agreement (including the attached Compliance Disclaimer).

4. If you reside outside the United States, you voluntarily access online services hosted on U.S.-based servers and shall be solely responsible for full compliance with all internet, consumer, advertising and e-commerce laws and regulations of your country or region of residence.

Article 1 Definitions

1.1 DZDEAL: The operating entity of this product testing and brand market research platform, with all servers and data storage facilities situated in the United States.

1.2 User: Any natural person who completes identity registration and uses Platform services, covering domestic U.S. users and global overseas users.

1.3 Brand Merchant: Third-party brands that publish testing tasks on DZDEAL to conduct market research and collect authentic user experience feedback.

1.4 Third-Party E-Commerce Platform: U.S. and global online shopping platforms with independent review systems, including Amazon, Walmart, eBay and Target.

1.5 User-Generated Feedback Content: Texts, images, videos, ratings and usage experience materials submitted solely by Users within the DZDEAL Platform, intended exclusively for internal product optimization reference by Brands.

1.6 FTC Rules: The FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising, mandatory regulations applicable to all incentive-based product testing activities.

Article 2 Account Registration Rules and User Obligations

2.1 Registration Eligibility

- You warrant that you have reached the age of 18; registration by minors under the age of 13 is strictly prohibited (in compliance with the U.S. Children’s Online Privacy Protection Act, COPPA).

- You shall provide true, accurate and complete personal information during registration (including email address, shipping address and identity verification materials requested by the Platform). Furnishing false identity information, fake addresses, registering multiple duplicate accounts, proxy registration or account transfer shall constitute serious violations.

- A single natural person may only hold one DZDEAL account. If the same individual registers multiple accounts, the Platform reserves the right to permanently suspend all associated accounts without prior notice.

2.2 Account Security Responsibilities

- You shall bear sole responsibility for maintaining the confidentiality of your account email, login password and verification credentials. All operations performed under your account credentials shall be deemed voluntary acts of yourself, and you shall bear all corresponding economic and legal liabilities arising therefrom.

- You must immediately notify the official customer service of DZDEAL if your account is compromised, logged in by unauthorized third parties or stolen. DZDEAL shall not be liable for any losses incurred due to your failure to take timely security measures.

2.3 User Code of Conduct (Zero-Tolerance Violations)

You covenant and warrant that you shall not engage in any of the following conduct:

1. Accept testing tasks on the Platform while acknowledging, explicitly or implicitly, that posting positive, neutral or negative reviews on third-party e-commerce stores is a prerequisite, additional condition or hidden requirement for task participation;

2. Utilize free samples, Luck Points, Platform coins, cash rewards, subsidies or other Platform benefits to exchange, trade or manipulate product reviews on Amazon, Walmart or other shopping platforms;

3. Conceal material connections in violation of FTC regulations: if you voluntarily publish reviews on external e-commerce platforms, social media or public forums, you must fully disclose that you have received free products, discounts, cash compensation or other benefits through this Platform;

4. Forge usage experience content, plagiarize review materials, fabricate product usage records or falsify task completion proof to defraud Platform rewards;

5. Hack, crawl, interfere with or attack U.S.-based DZDEAL servers, spread malware or viruses, or disrupt normal Platform operations (in violation of the U.S. Computer Fraud and Abuse Act, CFAA);

6. Sublease, resell or lend your DZDEAL account to any individual or intermediary agency;

7. Violate the user terms of third-party e-commerce platforms, local laws of your jurisdiction, or U.S. federal and state laws when participating in testing activities;

8. Engage in paid review solicitation, fake review transactions, rating manipulation or other commercial fraud prohibited by U.S. consumer protection laws.

Article 3 Platform Service Scope and Compliance Commitments

3.1 Definition of Core Services

All products, testing tasks and incentive benefits listed on DZDEAL are solely intended for brand market research and authentic user experience testing. The sole service provided by the Platform is matching Brand Merchants with testers to collect internal feedback data for product iteration and optimization.

3.2 Core Compliance Clause: No Inducement of Off-Platform Reviews

DZDEAL hereby makes an explicit commitment to all Users and Brand Merchants as follows:

- The Platform shall never induce, coerce, require, pressure or reward Users to publish ratings, comments, reviews or usage recommendations on any third-party e-commerce marketplace;

- Receiving free test products, Luck Points, Platform coins, cash rewards or other Platform benefits does not impose any obligation to post off-platform reviews;

- All task settlements, reward disbursements and sample shipments are determined solely based on authentic usage feedback submitted by Users within the DZDEAL system, completely independent of any review activities conducted by Users outside the Platform.

3.3 Complete Separation of Internal Platform Feedback and Third-Party Reviews

All experience materials uploaded by Users within the DZDEAL system are shared exclusively with cooperating Brand Merchants for internal product improvement reference. Such internal feedback is fully segregated from the independent review systems of Amazon, Walmart and other e-commerce marketplaces. DZDEAL maintains no partnership, control or affiliation with third-party marketplace review systems, and does not participate in or coordinate any off-site review publication activities.

Article 4 Intellectual Property Terms

4.1 All Platform programs, website source code, DZDEAL trademarks and logos, interface designs, task system rules, U.S. server operational data and database resources are the exclusive intellectual property of the Platform operator, protected under the U.S. Copyright Act and international copyright treaties. Users are granted only a limited, non-exclusive, non-transferable and revocable license to access and use the services for personal non-commercial testing purposes.

4.2 License for User-Generated Content: By submitting texts, photos, videos and experience materials to DZDEAL, you grant the Platform a worldwide, perpetual, royalty-free, non-exclusive license to store, display, analyze and transmit such content solely for brand research and Platform operation. You retain the copyright to your works and warrant that all submitted materials do not infringe upon the portrait rights, copyrights or trademarks of any third party.

Article 5 Collection and Usage Commitment of User Shipping Address Information

5.1 To fulfill various product testing tasks, official campaigns, sample distribution and related services released by DZDEAL, the Platform collects shipping addresses, recipient names, contact numbers and other logistics information filled in by Users.

5.2 The sole purpose of collecting the aforesaid information is to deliver test samples, campaign gifts and physical task rewards to Users. Such shipping data shall not be utilized for additional commercial marketing, SMS advertising, cold calling, resale of user data, sharing data with third parties or any other malicious purposes.

5.3 Without the written consent of Users, DZDEAL shall not transfer, sell, rent or share your shipping address and logistics privacy data with Brand Merchants, third-party advertising agencies or data service providers. Address information may only be temporarily shared with cooperating couriers for the sole purpose of completing delivery. Couriers are only authorized to use such data for one-time shipment and prohibited from retaining or reusing Users’ addresses for other purposes.

5.4 Users may edit or delete their shipping address information in the account backend at any time. After account cancellation, the Platform will permanently erase all your logistics and shipping data upon expiration of the legally required data retention period.

5.5 All user address data is stored on encrypted, U.S.-compliant servers, and protected in full compliance with the California Consumer Privacy Act (CCPA), COPPA and global cross-border data privacy regulations.

Article 6 Independent Compliance Disclaimer (Full Legal Section)

6.1 FTC Advertising Endorsement Compliance Disclaimer

Pursuant to the U.S. Federal Trade Commission Guides Concerning the Use of Endorsements and Testimonials in Advertising:

- You shall bear sole and full legal responsibility for all content you voluntarily publish on third-party e-commerce platforms, social media and public online channels. You are obligated by federal law to independently disclose all material connections (i.e., receipt of free products or compensation via DZDEAL).

- DZDEAL never mandates, requests or ties reward eligibility to the publication of off-platform reviews. Your decision to leave reviews on Amazon, Walmart or other marketplaces is entirely voluntary and unconnected to any Platform testing task agreements. You shall bear all liability for store penalties, account restrictions, administrative fines and legal proceedings arising from non-compliant undisclosed reviews, and the Platform shall not assume any joint liability.

6.2 Special Disclaimer Prohibiting Review Manipulation

DZDEAL strictly prohibits all incentive-based review solicitation, mass fake reviews and rating manipulation that violate Amazon, Walmart platform rules and U.S. federal trade regulations:

- The Platform does not organize, facilitate or condone any form of paid or free review exchange or fake review transactions. Any private off-platform review agreements reached between Users and Merchants or third-party intermediaries constitute independent private conduct unrelated to DZDEAL.

- If your personal e-commerce accounts are suspended, funds frozen, or you face litigation or regulatory penalties as a result of private review solicitation or illegal rating manipulation, all resulting losses and legal consequences shall rest solely with you. DZDEAL shall not be responsible for compensation, mediation or legal representation.

6.3 Disclaimer for Server and Cross-Border Access

- All Platform servers are located in the United States. Cross-border access by global Users may experience slow loading, temporary disconnections or latency due to cross-border network conditions, local internet regulations or carrier line limitations. The Platform does not warrant uninterrupted, fault-free global access and shall not compensate for losses caused by such network failures.

- Users outside the United States shall independently verify whether local laws permit access to overseas testing platforms. The Platform shall not be liable for any penalties incurred due to non-compliance with local internet regulations restricting Platform access.

6.4 Liability Isolation Disclaimer for Products and Merchants

Test products are supplied directly by resident Brand Merchants. All matters concerning product quality, logistics timeliness, product safety and after-sales returns and exchanges are the sole responsibility of the corresponding Brand Merchant. DZDEAL acts merely as an information matching intermediary; it does not manufacture or sell goods and shall not bear joint liability for product quality defects.

- Any off-platform or private transactions, compensation agreements reached between Users and Brand Merchants fall outside Platform supervision. All disputes arising therefrom shall be resolved by the parties themselves or through local judicial channels.

6.5 Disclaimer for Indirect Damages

To the fullest extent permitted by applicable law, DZDEAL, its operators and staff shall not be liable for any indirect losses, lost expected revenue, lost commercial profits or asset losses to User accounts, including without limitation e-commerce account suspension, store ranking degradation, adverse credit impact and business losses.

Article 7 Governing Law and Jurisdiction

1. The formation, performance and interpretation of this Agreement shall be governed by U.S. federal laws and the laws of the state where the Platform servers are located.

2. All disputes arising out of or related to this Agreement or Platform services shall be subject to the exclusive jurisdiction of courts located in the state hosting the Platform servers. Non-U.S. Users voluntarily consent to this cross-border jurisdiction clause.

3. If mandatory local laws of your place of residence require the application of local law, such conflicting provisions shall be superseded by local mandatory regulations, while all remaining clauses of this Agreement shall remain fully valid and enforceable.

Article 8 Amendment and Termination of Agreement

8.1 DZDEAL reserves the right to revise this Registration Agreement and Disclaimer from time to time in response to updates to U.S. laws, e-commerce platform policies and international regulatory requirements. Revised terms will be posted on the official Platform website. Continued use of Platform services following publication shall constitute your acceptance of the updated Agreement.

8.2 The Platform may immediately terminate your account access without prior notice or refund in any of the following circumstances:

(1) You engage in illegal review manipulation, operate multiple accounts, or launch attacks against Platform servers;

(2) You submit false registration information or falsify task materials to defraud rewards;

(3) You violate U.S. federal, state laws or the laws of your country of residence.

8.3 Adjustment of Campaign Rules and Operation Strategies

DZDEAL reserves the right to adjust product testing rules, platform campaigns, coin rewards, Luck value mechanisms, task settlement standards and other overall operation strategies from time to time, based on business operation demands, updates of U.S. regulatory laws and third-party e-commerce platform policies. All revised terms shall be posted on the official website or task page of the Platform. Your continued login, task participation and use of Platform services after publication constitute your full acceptance of the updated rules.

Revisions shall not have retroactive effect on tasks completed or rewards issued to Users prior to the publication of changes, to protect your legally acquired benefits. The Platform holds reasonable authority to revise rules and adjust operation plans within the scope permitted by applicable laws.

Article 9 Severability

If any single clause of this Agreement is deemed invalid or unenforceable by a judicial authority, such finding shall not affect the validity and enforceability of all remaining clauses, which shall remain in full legal force and effect.
